These Terms and Conditions establish a legally binding agreement ("Agreement") between you (the "User") and Tripcel Digital Limited, a private limited company incorporated and registered in Nigeria and Turkey ("Tripcel," "we," or "us"), regarding your purchase of an international data plan ("Data Plan") for a prepaid eSIM ("eSIM") for use on your personal device ("Device") from Tripcel ("Service"

1.2 Future Agreements:
Future agreements between the User and Tripcel may be subject to additional terms or documents posted on our website or application ("Application").

1.3 Recommendation:
We advise printing a copy of these Terms and Conditions for future reference.

2. Registration
2.1 Registration Process:
The User can register to purchase an eSIM through our Application, accepting the Terms of Use. Tripcel's Privacy Policy and Cookies Policy are viewable during the registration process.

3. Purchase of an eSIM and Activation
3.1 Purchase Agreement:
When purchasing an eSIM through the Application, the User enters an agreement to buy the eSIM and agrees to pay all applicable charges based on the purchased Data Plan.

3.2 Responsibility for eSIM:
Upon delivery, the User is responsible for the eSIM. Damage or loss of the Device before full payment requires the User to pay the full eSIM price.

3.3 Third-Party Purchases:
If purchasing through Third Parties, the User enters an agreement with them, and Tripcel is not a party to that agreement.

3.4 Data Plan Availability:
Tripcel provides Data Plans for specific countries, with the right to restrict availability in some jurisdictions. Users can purchase Data Plans through the Application or Third Parties.

3.5 Device Compatibility:
Users acknowledge the need for an unlocked, eSIM-compatible Device for accessing the eSIM.

4. Duration and Termination 4.1 Agreement Duration:
The Agreement starts upon eSIM purchase. After activation, the eSIM remains on the Device post-expiry or credit consumption. Removal is recommended after Data Plan use.

4.2 Termination Events:
The Agreement terminates upon Data Plan expiry or user suspension for breach of Terms and Conditions.

4.3 Post-Termination:
After termination, if the eSIM remains on the Device, it's provided "as is" until the User purchases a new eSIM or Data Plan.

5. Warranty
5.1 Statutory Rights:
Terms and Conditions complement statutory rights. Tripcel provides no warranty for the eSIM or Service, excluding required warranties under applicable laws.

5.2 Discontinuation:
Tripcel may discontinue eSIMs at its discretion.

6. Service Availability
6.1 Availability Commitment:
Tripcel aims to make the Service available continually, contingent on network capacity and connection availability.

6.2 Service Providers:
Tripcel partners with service providers for the Service without obligation to inform Users.

6.3 Network Guarantee:
No guarantee on network capacity, quality, or availability is provided, considering various circumstances.

7. User Obligations
7.1 Usage Responsibilities:
Users must comply with Terms and Conditions, applicable laws, and refrain from fraudulent, criminal, or illegal actions.

7.2 Fair Usage of Promotions:
Promotions should not undermine fairness, integrity, or legitimate operation of the Service.

7.3 Suspension Rights:
Tripcel may suspend Service for breaches, with Users liable for suspended Service charges. Tripcel may remove User accounts without liability.

8. Payment Terms
8.1 Payment Process:
Users can register and buy eSIMs through the Application, with payment processed by Tripcel's authorized agent.

8.2 Pricing and Taxes:
All eSIMs are prepaid, inclusive of Indirect Tax, unless specified otherwise, based on the User's provided postcode.

9. Legal Right of Withdrawalb
9.1 Withdrawal Period:
Consumers have 14 days to withdraw from the Agreement after eSIM purchase, with a proportional refund if activated.

9.2 Withdrawal Process:
Users must inform Tripcel of withdrawal, following the details provided in section 13 below.

10. Refund and Returns Policy
10.1 Refund Requirements:
For a full refund, the eSIM must be purchased via the Application, not activated, and the purchase made within six years.

10.2 Partial Refunds:
Partial refunds may apply if the Data Plan is activated, consumed, or the eSIM malfunctions due to network issues.

10.3 Incompatibility Refund:
A full refund is provided if the eSIM is downloaded onto an incompatible or locked Device.

11. Intellectual Property Rights
11.1 Ownership and Restrictions:
The eSIM is proprietary to Tripcel, and copying, reproducing, or exploiting any part requires express written permission.

12. Data Protection
12.1 Personal Data Processing:
By purchasing an eSIM, Users acknowledge Tripcel's processing of Personal Data for Service provision, improvement, and preventing unauthorized use.

13. Indemnity
13.1 User Indemnification:
Users agree to indemnify Tripcel against losses, costs, and claims resulting from breaches or improper use of the Service.

14. Limitation of Liability
14.1 Liability Exclusion:
Tripcel excludes liability for losses or damages incurred in connection with Service use. Tripcel's maximum liability is capped at charges paid by the User in the 12 months preceding the event.

15. Governing Law and Legal Compliance
15.1 Jurisdiction and Compliance:
Turkish and Nigerian law governs these Terms and Conditions, with exclusive jurisdiction in the Nigerian and Turkish courts. Other applicable laws may also apply.

15.2 Geographic Compliance:
The Service and Application are intended for use where allowed by local laws; Users accessing it from prohibited locations are responsible for compliance.

16. Variation of these Terms and Conditions 16.1 Modification Process:
Tripcel may vary terms with updated versions available on the Application. Users will be notified, and continued use implies acceptance unless exceptions apply.

17. General
17.1 Assignment and Legality: Tripcel may assign rights without User consent. Illegal or invalid provisions are modified for legality. No waiver of rights by either party is considered a precedent.

17.2 Conflict Resolution: In case of conflict between English and translated versions, the English version prevails.
